These Terms of Service ("Terms") govern your access to and use of the Rebel X Brands wholesale website at rebelxbrands.com (the "Site") and all related services, products, and content offered by Rebel X Brands, operated by Empowered Creations LLC ("Rebel X Brands," "we," "us," or "our"). Please read these Terms carefully before applying for a wholesale account or placing an order.
1. Acceptance of Terms
By accessing the Site, submitting a wholesale application, creating an account, or placing an order, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Site or our services.
2. Eligibility: Business-to-Business Only
Rebel X Brands operates exclusively as a business-to-business (B2B) wholesale supplier. The Site and our services are not intended for individual consumer use. To be eligible to apply for or maintain a wholesale account, you must be:
- A licensed retailer, distributor, or other qualifying business entity;
- An authorized representative aged 21 or older;
- Operating in a jurisdiction where our products are legal to sell at retail;
- Able to provide a valid Employer Identification Number (EIN) or business tax ID, and a resale certificate, which we verify before your first shipment is released.
You represent and warrant that all information you provide in connection with eligibility verification is true, accurate, current, and complete.
3. Wholesale Application and Account Approval
To purchase from Rebel X Brands, you must complete our wholesale application. Applications are typically reviewed within 24 business hours. Upon approval, your account will be activated and assigned to an initial wholesale tier (see Section 4).
We reserve the right, in our sole discretion, to approve or reject any application for any lawful reason, including but not limited to incomplete documentation, inability to verify credentials, or operation in a restricted jurisdiction. We also reserve the right to suspend or terminate any account at any time for breach of these Terms, fraudulent or suspicious activity, non-payment, or any other reason permitted by law.
4. Pricing and Tiered Wholesale Program
Rebel X Brands offers tiered wholesale pricing based on monthly purchase volume:
- Tier 1: Starting tier for newly approved accounts.
- Tier 2: Available upon reaching $5,000 in monthly purchases.
- Tier 3: Available upon reaching $10,000 in monthly purchases.
- Tier 4: Invite-only.
All prices are listed in U.S. dollars and are subject to change at any time with reasonable notice. Tier adjustments are reviewed periodically based on rolling purchase history.
Suggested Retail Pricing. We publish suggested retail pricing for guidance. Retailers set their own retail prices. We do not enforce minimum advertised pricing (MAP).
5. Payment Terms
- First 90 Days: New wholesale accounts must pay in full up front (prepaid) for the first 90 days of activity.
- Net-15: After the initial 90-day period, Net-15 terms may be extended on a case-by-case basis to qualified accounts at our discretion.
- Net-30 (Distributors): Distributor accounts may negotiate Net-30 terms subject to a signed distribution contract.
Late Payments. Invoices not paid by the due date may accrue late fees and may result in account hold, suspension, or referral to collections. Buyer agrees to pay all reasonable costs of collection, including attorney's fees.
6. Shipping and Restricted States
Orders ship from our facility in Austin, Texas, typically within 48 business hours of order approval and payment clearance.
Kratom Restricted States. We do not ship kratom products to the following states where kratom is banned or restricted at the state level: Alabama (AL), Arkansas (AR), Indiana (IN), Vermont (VT), Wisconsin (WI), Louisiana (LA), and Connecticut (CT). Additional local ordinances (county or municipal) restricting kratom will be flagged at order entry where known.
Hemp-Derived Products. Hemp-derived Delta-9 THC and THCA products are offered in compliance with the federal Agriculture Improvement Act of 2018 (the "2018 Farm Bill"). The federal 2025 Hemp THC Ban, effective November 12, 2026 (pending), will substantially restrict the sale of intoxicating hemp-derived products; product availability and formulations will change accordingly.
Buyer Compliance Responsibility. The buyer is solely responsible for verifying and complying with all federal, state, county, and municipal laws applicable to the resale, labeling, and distribution of our products in the buyer's own jurisdiction.
7. Product Information and Compliance
Every batch of product we ship is accompanied by, or has available, a third-party Certificate of Analysis (COA) covering identity, potency, and contaminant testing. Our manufacturing is AKA-GMP aligned (American Kratom Association Good Manufacturing Practices).
The buyer is responsible for verifying that each product purchased is legal for retail sale in the buyer's state and locality, and for ensuring that any product labeling or marketing performed by the buyer complies with applicable law (including the Kratom Consumer Protection Act where adopted).
8. Returns, Refunds, and Damaged Shipments
- Damaged on Arrival. Claims for damaged shipments must be submitted in writing, with photographs, within 7 days of delivery.
- No Returns on Opened Product. Due to product handling and compliance requirements, we do not accept returns on opened product.
- Replacement or Credit. Approved damage or shortage claims will be resolved by replacement, credit, or refund at our sole discretion.
9. Acceptable Use
In using the Site, our services, or our products, you agree that you will not:
- Use our products or services for any illegal or unauthorized purpose;
- Violate any law in your jurisdiction (including but not limited to copyright, trademark, age-restricted commerce, and controlled-substance laws);
- Transmit any worms, viruses, or other malicious code through or to the Site;
- Resell our products outside of your licensed retail channels, or to unauthorized resellers;
- Infringe on or violate our intellectual property rights or the rights of any third party;
- Submit false or misleading information in connection with your application or account.
Violation of this Section 9 may result in immediate suspension or termination of your account.
10. Intellectual Property
The Site, all content (including text, graphics, logos, images, and Certificates of Analysis), and the trademarks Rebel X Brands, King K, GÜD Tonics, GRH Kratom, Grassroots Harvest, and Lucy Jane, together with all associated names, slogans, and design elements, are the property of Empowered Creations LLC or its licensors and are protected by U.S. and international intellectual property laws.
Approved wholesale retailers are granted a limited, non-exclusive, non-transferable, revocable license to use brand assets we provide solely for the purpose of reselling our products through their authorized retail channels. All other uses require our prior written consent.
11. Limitation of Liability
Empowered Creations, LLC dba Rebel X Brands, its employees, and affiliates shall at no point be liable for any injury, loss, or claim related to the use of our products or services. Some states do not allow this limitation, in which case liability shall be limited to the maximum extent permitted by law.
12. Indemnification
You agree to defend, indemnify, and hold harmless Empowered Creations LLC dba Rebel X Brands, its officers, employees, affiliates, and agents from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorney's fees) arising out of or relating to: (a) your resale, retail labeling, marketing, or other use of our products; (b) your breach of these Terms; (c) your violation of any law or the rights of any third party; or (d) any content or information you submit in connection with your account.
13. Termination
We may suspend or terminate your account, in whole or in part, at any time for breach of these Terms, fraudulent or suspicious activity, non-payment, or any other reason permitted by law. Upon termination, any outstanding invoices remain due and payable, and the provisions of these Terms that by their nature should survive termination (including Sections 10, 11, 12, and 14) will survive.
14. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict-of-laws principles. Disputes arising out of or relating to these Terms or your use of the Site or our services shall be resolved in the state or federal courts located in Travis County, Texas, and you consent to the personal jurisdiction of those courts.
15. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Effective Date" at the top of this page. Your continued use of the Site or our services following the posting of updated Terms constitutes your acceptance of those changes. We encourage you to review these Terms periodically.
